To govern any transaction between the Foundation and a related party, protecting the non-distribution principle, tax status and reputation.

Purpose

To govern any transaction between the Foundation and a related party, protecting the non-distribution principle, tax status and reputation.

Key commitments

  • Any dealing must be on arm’s-length terms, evidenced by independent benchmarks.
  • No transaction may transfer value from the Foundation to a related party; related entities are never subsidised.
  • The related interest is disclosed in writing before the matter is considered.
  • Approval is by non-conflicted board members, with the rationale and benchmarks minuted.
  • All related-party transactions are logged, disclosed in the annual accounts and reviewed by the auditor.
